Sales Agreement (Terms of Sale) – TechSW LTD
This Sales Agreement (“Agreement”) governs all purchases made from TechSW LTD (“Company”, “we”, “us”, “our”).
By placing an order through our website, you (“Customer”, “you”, “your”) agree to the terms outlined in this Agreement, including our integrated Return & Refund Policy.
1. Definitions
- Company / Seller: TechSW LTD
- Customer / Buyer: The individual or entity purchasing products from the Company
- Products: Digital goods, software licenses, activation keys, downloadable items, and any other items sold by the Company
- Website: The Company’s online store and associated domains
2. Scope of This Agreement
This Agreement applies to all:
- Online purchases
- Digital deliveries
- Software license sales
- Customer interactions related to the order
All users must read and accept this Agreement before completing a purchase.
3. Product Information
We make every effort to provide accurate product descriptions, including:
- Software version
- Platform compatibility
- License terms
- Delivery method
However, the Customer is responsible for verifying:
- System requirements
- Device compatibility
- Correct product selection (e.g., Windows/Mac, version year, edition)
4. Pricing & Payment
- All prices are listed in USD unless stated otherwise.
- Payment is required in full before delivery.
- We accept payments through approved third-party processors (e.g., Stripe, PayPal).
- The Company is not responsible for additional fees charged by payment processors.
5. Digital Delivery
Most products are delivered electronically.
A digital product is considered delivered once:
- It is emailed to the Customer, or
- It appears in their account dashboard, or
- An activation key/license is displayed on the order confirmation page.
Once delivered, digital goods cannot be cancelled, as they are instantly usable and irrevocable.
6. Customer Responsibilities
Customers agree to:
- Provide accurate contact and billing information
- Ensure correct product selection
- Maintain a compatible device and operating system
- Follow activation instructions provided
The Company is not liable for problems caused by:
- Incorrect product selection
- Unsupported hardware or OS
- Customer-side software conflicts
- Outdated device configurations
7. Integrated Return & Refund Policy
The following Return & Refund Policy is a binding part of this Sales Agreement.
7.1. General Rule – No Refunds
TechSW LTD does not offer refunds for:
- Incorrect product selection
- Compatibility issues on the customer’s device
- Change of mind
- Accidental orders
- Digital products that have been delivered or viewed
- Activation keys that have been sent, displayed, or accessed
All sales are final.
7.2. Faulty or Non-Working Products
If a product is faulty, non-functional, or cannot be activated through no fault of the customer, the Company will provide:
a) Replacement (Primary Solution)
We will attempt to replace the faulty product with the same item at no additional cost.
b) Refund (Only If Replacement Is Impossible)
A refund will only be issued if:
- The same product cannot be supplied
- A functional replacement is unavailable
Refunds will not be granted under any other circumstances.
7.3. Proof of Error Required
Customers must submit:
- A clear screenshot of the error,
- A screen recording, or
- System messages proving activation failure.
Without valid evidence, we cannot proceed with replacement or refund evaluation.
7.4. Incorrect Customer Information
Refunds or replacements will not be issued if issues arise due to:
- Incorrect email address provided
- Wrong version selected (e.g., Mac instead of Windows)
- Unsupported or outdated operating system
- Customer’s device limitations
7.5. Digital Delivery Confirmation
A digital item is considered successfully delivered once:
- Sent to the provided email
- Displayed on the purchase confirmation screen
- Accessible from the user account
Delivered digital goods cannot be cancelled or refunded.
7.6. Chargebacks & Fraud Prevention
Fraudulent chargebacks or false claims may result in:
- Account termination
- Reporting to payment processors
- Legal action where necessary
We strongly encourage customers to contact us before initiating any dispute.
8. Limitation of Liability
The Company is not liable for:
- Loss of data
- Business interruption
- Third-party software conflicts
- Damages caused by improper installation or misuse
Maximum liability is limited to the purchase price of the product.
9. Governing Law
This Agreement is governed by the laws of:
- United Kingdom,
- England & Wales jurisdiction.
Any disputes will be resolved exclusively in UK courts.
10. Amendments to This Agreement
We may update these terms at any time.
Updated versions will be posted on our website with a new “Last Updated” date.
